MyMemoryDrop Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Agreement”) govern participation in the MyMemoryDrop Affiliate Program operated by JDMWEBS, VAT/Enterprise Number BE0647492420, Kapelstraat 165, 9140 Steendorp, Belgium (“JDMWEBS”, “MyMemoryDrop”, “we”, “us” or “our”).

By applying for, activating or participating in the MyMemoryDrop Affiliate Program, the Affiliate confirms that they have read, understood and accepted this Agreement.

  1. Eligibility

Participants must be at least 18 years old and legally capable of entering into this Agreement.

Affiliates are responsible for ensuring that their participation in the Affiliate Program is lawful in their country of residence or establishment.

Participation in the Affiliate Program does not imply that JDMWEBS has verified or approved the Affiliate’s individual tax, VAT, business registration, social security or other legal status.

Each Affiliate is solely responsible for complying with all applicable tax, VAT, business registration, social security, invoicing, accounting and other legal obligations relating to commissions earned through the Affiliate Program.

JDMWEBS may request proof of identity, business registration, VAT status, payment information or other relevant information where reasonably necessary and may suspend payouts until requested information has been satisfactorily provided or verified.

  1. Affiliate Ranks

The MyMemoryDrop Affiliate Program has three Affiliate ranks:

Basic

Basic is intended for Affiliates who manage their affiliate activities independently.

Basic Affiliates receive:

  • 15% commission on qualifying direct sales
  • 5% recurring commission
  • 5% lifetime commission
  • No technical setup assistance
  • No multi-level affiliate commissions
  • No activation fee

Premium

Premium Affiliates receive:

  • 20% commission on qualifying direct sales
  • 7.5% recurring commission
  • 7.5% lifetime commission
  • Setup assistance where offered by JDMWEBS
  • Access to the multi-level commission structure described in this Agreement
  • A one-time activation fee of €49

No Affiliate commission or network commission is payable on the €49 Premium activation fee.

First Class

First Class Affiliates receive:

  • 25% commission on qualifying direct sales
  • 10% recurring commission
  • 10% lifetime commission
  • Setup assistance where offered by JDMWEBS
  • Access to the enhanced multi-level commission structure described in this Agreement
  • A one-time activation fee of €99

No Affiliate commission or network commission is payable on the €99 First Class activation fee.

Payment of an activation fee does not guarantee earnings, referrals, sales, commissions or any particular financial result.

  1. Basis for Commission Calculation

Unless explicitly stated otherwise, all Affiliate commissions are calculated on the qualifying net sales amount excluding VAT and other applicable sales taxes.

This rule applies equally to all Affiliates, regardless of:

  • whether the Affiliate has a VAT number;
  • whether the Affiliate is VAT registered;
  • the Affiliate’s country of residence or establishment;
  • the Affiliate’s individual tax status.

The VAT or tax status of an Affiliate therefore does not change the underlying amount on which MyMemoryDrop calculates the Affiliate commission.

Example

If a qualifying product is sold for €100 including 21% VAT, the net sales amount excluding VAT is approximately:

€82.64

The direct commission would therefore be approximately:

  • Basic — 15% × €82.64 = €12.40
  • Premium — 20% × €82.64 = €16.53
  • First Class — 25% × €82.64 = €20.66

This example is provided for illustration only. The actual VAT rate applicable to a transaction may differ depending on the product, service, customer, country and applicable tax legislation.

Where discounts are applied, commission is calculated on the actual qualifying net amount paid for the commissionable product or service, excluding VAT and other applicable sales taxes.

Unless expressly stated otherwise, shipping charges, payment fees, activation fees and other non-commissionable charges do not form part of the commissionable amount.

  1. Affiliate Tax and VAT Responsibility

The Affiliate is solely responsible for determining how commissions received from JDMWEBS must be treated for tax, VAT, accounting and invoicing purposes.

Where an Affiliate is required to charge VAT or another tax on services provided to JDMWEBS, the Affiliate is responsible for complying with the applicable legal and invoicing requirements.

The fact that commissions are calculated on MyMemoryDrop sales excluding VAT does not determine the Affiliate’s own VAT or tax obligations.

JDMWEBS does not provide individual tax, VAT, legal or accounting advice to Affiliates.

  1. Multi-Level Commissions

Only Premium and First Class Affiliates may participate in the multi-level commission structure.

No Affiliate receives compensation merely for recruiting, registering, referring or activating another Affiliate.

Multi-level commissions can only arise from qualifying product or service sales generated within the Affiliate network.

No multi-level commission is payable on Premium or First Class activation fees.

Premium Network Commissions

A Premium Affiliate may receive:

  • Level 1: 5%
  • Level 2: 4%
  • Level 3: 3%
  • Level 4: 2%
  • Level 5: 1%

These percentages are calculated on the commission earned by the relevant downstream Affiliate, not on the original product selling price.

For example:

If a downstream Affiliate earns €40 commission from a qualifying sale and that Affiliate is on Level 1 of a Premium Affiliate’s network:

5% × €40 = €2.00 network commission

First Class Network Commissions

A First Class Affiliate may receive:

  • Level 1: 10%
  • Level 2: 8%
  • Level 3: 6%
  • Level 4: 4%
  • Level 5: 2%

These percentages are also calculated on the commission earned by the relevant downstream Affiliate, not on the original product selling price.

For example:

If a downstream Affiliate earns €40 commission from a qualifying sale and that Affiliate is on Level 1 of a First Class Affiliate’s network:

10% × €40 = €4.00 network commission

The multi-level structure is designed exclusively to reward qualifying commercial sales generated through an Affiliate network.

Recruitment or activation of Affiliates by itself never generates commission.

  1. Direct, Recurring and Lifetime Commissions

Direct commissions apply to qualifying initial sales attributed to an Affiliate according to the applicable Affiliate rank.

Recurring commissions apply only where a qualifying product or service generates eligible recurring payments and remains attributed to the Affiliate under the rules of the Affiliate Program.

Lifetime commissions apply where the relevant customer remains attributed to the Affiliate under the applicable lifetime commission rules of the Affiliate Program.

The applicable percentages depend on the Affiliate’s rank at the time the commission is generated, unless otherwise expressly determined by JDMWEBS.

All direct, recurring and lifetime commissions are calculated on the applicable qualifying amount excluding VAT and other applicable sales taxes.

  1. Tracking and Attribution

Affiliate referrals are tracked using Affiliate links, cookies and/or other tracking technology.

The standard referral tracking period is:

365 days

Tracking depends on the proper functioning of browsers, cookies, devices and other relevant technologies.

Tracking may fail or attribution may change where, for example:

  • cookies are deleted;
  • cookies are blocked;
  • tracking protection prevents attribution;
  • the customer changes browser or device;
  • another valid Affiliate attribution subsequently applies;
  • the customer does not use the Affiliate link;
  • technical circumstances prevent reliable attribution.

JDMWEBS cannot guarantee that every visit, referral or transaction can technically be tracked.

The records maintained by the MyMemoryDrop Affiliate system will normally determine Affiliate attribution unless JDMWEBS identifies an obvious technical error.

  1. Qualifying Sales

Commission is payable only on valid, completed and qualifying transactions properly attributed to the Affiliate.

Commission is not payable on:

  • cancelled orders;
  • fully or partially refunded amounts;
  • chargebacks;
  • fraudulent transactions;
  • fraudulent or manipulated referrals;
  • self-referrals;
  • Premium activation fees;
  • First Class activation fees;
  • non-commissionable charges;
  • transactions subsequently determined to be invalid;
  • transactions generated in breach of this Agreement.

JDMWEBS may reverse or adjust previously recorded commissions when the underlying transaction is subsequently refunded, cancelled, charged back or determined to be invalid.

For partial refunds, the corresponding commission may be reduced proportionally.

  1. Self-Referrals

Affiliates may not purchase through their own Affiliate link for the purpose of receiving commission.

Affiliates may not circumvent this restriction by using another email address, account, household member, company, legal entity or other method where the Affiliate is effectively the purchaser or beneficiary of the transaction.

Commission arising from prohibited self-referrals may be cancelled.

Repeated or deliberate abuse may result in suspension or termination of the Affiliate account.

  1. Payouts

Affiliate commissions become eligible for payout no earlier than 15 days after the qualifying sale, provided that the underlying transaction remains valid and has not been refunded, cancelled, reversed or charged back.

The minimum payout amount is:

€50

Payouts are made at the Affiliate’s request and are subject to:

  • the €50 minimum payout threshold;
  • expiry of the applicable waiting period;
  • the underlying transactions remaining valid;
  • completion of required Affiliate account information;
  • completion of required payout information;
  • successful identity, business or tax verification where reasonably required;
  • compliance with this Agreement;
  • availability of the selected payout method.

Commissions below €50 remain in the Affiliate’s account until the applicable minimum payout threshold has been reached, subject to the other provisions of this Agreement.

Available payout methods may change over time and may depend on the Affiliate’s country, provider availability, regulatory requirements and technical integrations.

Payment-provider processing times and fees may be outside JDMWEBS’ control.

  1. Refunds and Chargebacks

If a customer receives a full or partial refund, initiates a chargeback or otherwise reverses a qualifying transaction, the corresponding Affiliate commission may be cancelled or proportionally adjusted.

If the relevant commission has already been paid, JDMWEBS may deduct the corresponding amount from future Affiliate earnings.

Where reasonably necessary, JDMWEBS may seek recovery of incorrectly or fraudulently paid commissions.

  1. Advertising Restrictions

Affiliates may not use paid advertising to promote MyMemoryDrop without prior written permission from JDMWEBS.

This includes, without limitation:

  • Google Ads;
  • Microsoft Ads;
  • Facebook/Meta Ads;
  • Instagram Ads;
  • TikTok Ads;
  • paid search campaigns;
  • paid social-media campaigns;
  • paid display advertising;
  • other paid traffic campaigns.

Affiliates may not bid on or purchase advertising keywords containing:

  • MyMemoryDrop;
  • JDMWEBS;
  • misspellings or variations of these names;
  • MyMemoryDrop product names;
  • protected MyMemoryDrop or JDMWEBS brand terms.

Written permission from JDMWEBS may include additional conditions that the Affiliate must follow.

  1. Coupon, Cashback and Deal Websites

Promotion through coupon, voucher, discount-code, cashback or deal websites is not permitted unless JDMWEBS provides explicit prior written approval.

Affiliates may not:

  • advertise unauthorized coupon codes;
  • invent discounts;
  • advertise expired discounts as valid;
  • create the impression that an exclusive MyMemoryDrop discount exists when it does not;
  • mislead customers regarding pricing or promotions.
  1. Email Marketing

Email marketing is permitted provided that the Affiliate complies fully with all applicable privacy, electronic communications, anti-spam and direct-marketing legislation.

Spam and unsolicited bulk commercial messaging are strictly prohibited.

Affiliates are responsible for obtaining all legally required permissions and consents before sending commercial communications.

Affiliates may not imply that an email or other communication was sent directly by MyMemoryDrop or JDMWEBS unless specifically authorized in writing.

  1. Social Media and Content Marketing

Affiliates may promote MyMemoryDrop through legitimate:

  • social-media channels;
  • websites;
  • blogs;
  • videos;
  • reviews;
  • newsletters;
  • content platforms;
  • other lawful promotional channels.

The commercial nature of the Affiliate relationship must be clearly disclosed where required by applicable law.

Affiliates must clearly disclose Affiliate links and the possibility of receiving a commission where such disclosure is legally required.

Affiliates may not disguise advertising or Affiliate promotion as an independent recommendation where doing so would be misleading.

  1. Prohibited Conduct

The following activities are prohibited:

  • spam;
  • unsolicited bulk messaging;
  • cookie stuffing;
  • click fraud;
  • fake clicks;
  • fake leads;
  • fake Affiliate accounts;
  • fake customer accounts;
  • artificial traffic generation;
  • tracking manipulation;
  • self-referrals;
  • fictitious purchases;
  • false or misleading advertising;
  • false claims about MyMemoryDrop;
  • unauthorized income or earnings claims;
  • fake reviews or testimonials;
  • impersonating JDMWEBS or MyMemoryDrop;
  • claiming to be an employee, agent or official representative of JDMWEBS without authorization;
  • unauthorized modification of MyMemoryDrop branding;
  • trademark abuse;
  • registering misleading domains containing MyMemoryDrop or confusingly similar terms;
  • creating misleading social-media accounts using MyMemoryDrop branding;
  • unauthorized paid advertising;
  • unauthorized coupon or cashback promotion;
  • misleading incentives;
  • interfering with another Affiliate’s referrals;
  • attempting to circumvent commission rules;
  • exploiting technical errors;
  • using bots or automated systems to generate fraudulent referrals;
  • manipulating the multi-level structure;
  • creating multiple Affiliate accounts to obtain improper commissions;
  • generating commissions primarily or exclusively through recruitment rather than qualifying sales;
  • any activity violating applicable law.
  1. Brand and Intellectual Property

Participation in the Affiliate Program does not transfer ownership of any MyMemoryDrop or JDMWEBS intellectual property.

Affiliates receive only a limited, revocable, non-exclusive and non-transferable right to use promotional materials specifically made available by JDMWEBS for Affiliate Program purposes.

Affiliates may not:

  • claim ownership of MyMemoryDrop materials;
  • materially alter logos without permission;
  • create misleading derivative branding;
  • imply official endorsement beyond the Affiliate relationship;
  • represent themselves as JDMWEBS employees or agents;
  • register MyMemoryDrop trademarks or confusingly similar names.

All rights not expressly granted remain with JDMWEBS or their respective owners.

  1. Independent Relationship

Affiliates participate in the Affiliate Program as independent parties.

Nothing in this Agreement creates:

  • an employment relationship;
  • a partnership;
  • a joint venture;
  • a franchise;
  • a commercial agency;
  • an authority to legally bind JDMWEBS.

Affiliates determine their own promotional activities within the limits of this Agreement and applicable law.

Affiliates are responsible for their own business expenses, taxes, VAT obligations, social contributions, insurance, registrations, accounting and other legal obligations.

  1. No Earnings Guarantee

JDMWEBS makes no guarantee regarding:

  • referrals;
  • sales;
  • conversion rates;
  • commission income;
  • recurring income;
  • lifetime income;
  • network income;
  • profitability;
  • future Affiliate Program performance.

Past results of an Affiliate do not guarantee future results.

Payment of a Premium or First Class activation fee does not guarantee that the Affiliate will recover that fee or generate any income.

Affiliate results depend on numerous factors, including the Affiliate’s own promotional activities, audience, market conditions and customer behaviour.

  1. Changes to Commissions and Program Structure

JDMWEBS may modify the Affiliate Program where reasonably necessary, including:

  • commission percentages;
  • Affiliate ranks;
  • qualification requirements;
  • tracking rules;
  • cookie duration;
  • payout methods;
  • payout thresholds;
  • commissionable products;
  • network structures;
  • promotional rules;
  • other Affiliate Program conditions.

Material changes will be communicated or made available through the Affiliate Portal, website, email or another reasonable communication channel.

Unless otherwise stated, changes apply prospectively and do not retroactively remove valid commissions already earned under the rules applicable when those commissions were generated.

  1. Suspension and Termination

JDMWEBS may suspend or terminate an Affiliate account where there is reasonable evidence of:

  • fraud;
  • abuse;
  • breach of this Agreement;
  • illegal activity;
  • misleading promotion;
  • tracking manipulation;
  • commission manipulation;
  • prohibited self-referrals;
  • failure to provide reasonably requested verification;
  • conduct capable of damaging MyMemoryDrop, JDMWEBS, customers or other Affiliates.

Where fraud, manipulation or a material breach has occurred, JDMWEBS may cancel commissions directly connected with the prohibited activity.

Termination does not automatically entitle an Affiliate to commissions that were not validly earned before termination.

  1. Data Protection

JDMWEBS may process personal data required to:

  • administer the Affiliate Program;
  • create and manage Affiliate accounts;
  • track referrals;
  • calculate commissions;
  • communicate with Affiliates;
  • prevent fraud and abuse;
  • process payouts;
  • comply with legal obligations.

Affiliates must themselves comply with applicable privacy and data-protection legislation when processing personal data for their promotional activities.

Participation in the Affiliate Program does not authorize an Affiliate to collect, process or use personal data on behalf of JDMWEBS unless expressly agreed in writing.

  1. Affiliate Responsibility

Each Affiliate is solely responsible for:

  • the content they publish;
  • their marketing practices;
  • their tax declarations;
  • their VAT obligations;
  • invoices where applicable;
  • business registration requirements;
  • social-security obligations;
  • advertising disclosures;
  • compliance with consumer-protection rules;
  • compliance with privacy legislation;
  • compliance with electronic marketing legislation;
  • ensuring that their Affiliate activities are legally permitted.

Acceptance into the Affiliate Program does not constitute legal, tax, accounting or business advice from JDMWEBS and does not confirm that an Affiliate has satisfied their individual legal or regulatory obligations.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, JDMWEBS will not be liable for indirect or consequential losses arising from participation in the Affiliate Program, including loss of anticipated commissions caused by:

  • technical failures;
  • third-party services;
  • tracking limitations;
  • payment-provider failures;
  • browser or cookie restrictions;
  • circumstances outside JDMWEBS’ reasonable control.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

  1. Program Availability

JDMWEBS may modify, temporarily suspend or discontinue the Affiliate Program where reasonably necessary.

Where practicable, Affiliates will be informed of material changes affecting their participation.

Valid commissions already earned before discontinuation remain subject to the validation, refund, chargeback, minimum payout and other applicable provisions of this Agreement.

  1. Governing Law

This Agreement is governed by Belgian law.

Any dispute relating to this Agreement shall be submitted to the competent Belgian courts, subject to any mandatory jurisdictional rights that cannot legally be excluded.

  1. Acceptance

By registering for, activating or participating in the MyMemoryDrop Affiliate Program, the Affiliate confirms that they:

  • are at least 18 years old;
  • have read this Agreement;
  • understand the applicable commission structure;
  • understand that commissions are calculated on qualifying sales excluding VAT and other applicable sales taxes;
  • understand the payout rules;
  • understand their own tax, VAT and legal responsibilities;
  • understand that no earnings are guaranteed;
  • agree to comply with these Terms & Conditions.
